SoundSeam Connected Account Agreement

This agreement governs your use of SoundSeam Payments as a Connected Account and outlines how you and SoundSeam use third-party payment services to facilitate identity verification, payouts, and transactions. This SoundSeam Connected Account Agreement ("Agreement") is a legal contract between you or the entity you represent ("you", "your") and SoundSeam Technologies Inc. ("SoundSeam", "we", "us", or "our").

By enrolling as a Connected Account with SoundSeam Payments, you agree to the terms outlined in this Agreement, as well as the relevant terms of service from any applicable payment processor (e.g., PayPal). If any conflict arises between third-party terms and this Agreement, the third-party's terms will govern your relationship with them, while this Agreement governs your relationship with SoundSeam.


1. Key Definitions

  • Connected Account: A user who completes onboarding with SoundSeam Payments to receive payouts from beat sales.
  • Identity Verification: The process where we collect your contact details and optionally verify your identity if required.
  • Platform Services: Services provided by SoundSeam including sales tracking, ledger updates, compliance coordination, and payouts.
  • Third-Party Payment Provider: A financial service (currently PayPal) that executes payments on behalf of SoundSeam.
  • Payout Window: A period (typically 7 days) used to reduce risk of chargebacks or fraud before funds become eligible for withdrawal.

2. Onboarding and Payment Access

SoundSeam Payments currently requires only a valid PayPal email to receive payouts. We may collect your name, email, and country during this process.

You will not be granted payout access until a PayPal email is provided. Identity verification may be requested at a later stage if risk signals or compliance needs arise.

Funds from your sales will appear in your dashboard and become eligible for withdrawal after the payout window has passed.


3. Your Responsibilities

You agree to:

  • Provide accurate and current contact and PayPal information
  • Use your real identity if asked during verification
  • Only withdraw funds once you’ve earned them through legitimate activity
  • Handle all customer service issues related to your beats or sales directly

You acknowledge that any attempts to defraud the platform, bypass payout setup, or engage in suspicious activity may result in account termination and forfeiture of earnings.


4. Access and Control

Your access to detailed payment or account settings may be limited by SoundSeam's implementation. We may restrict your ability to disconnect from the payment system, modify certain information, or disable payout methods without prior notice.

If you have questions or require account updates, you must contact SoundSeam directly. PayPal will typically not offer direct support for payout issues related to SoundSeam.


5. Data Sharing and Privacy

5.1 Sharing Your Data

You instruct us to share the following data with our payment providers as needed to operate SoundSeam Payments:

  • Transaction data (sales, amounts, etc.)
  • Your contact and identity information
  • Tax and compliance data
  • Customer data associated with sales
  • Any metadata needed for account creation or payout operations

We will handle all data in accordance with our Privacy Policy and applicable data protection laws. You are responsible for ensuring you have obtained proper consent from your customers where applicable.

5.2 Fees and Charges

Fees for SoundSeam Payments may be disclosed separately or consolidated within your general SoundSeam pricing plan. You are also subject to PayPal fees, which may include transfer fees, currency conversion charges, and compliance-related deductions.

SoundSeam may deduct these fees before distributing funds to you. The full breakdown of fees may not always be visible to you but can be requested.


6. Disclaimers and Limitations

SoundSeam is not liable for:

  • The accuracy, timeliness, or completeness of services offered by PayPal or other payment providers
  • Any disputes between you and your customers
  • Delays in payout due to verification, fraud screening, or compliance issues
  • Your obligations to government authorities (e.g., taxes, licensing, reporting)

Your use of SoundSeam Payments is at your own risk, and subject to the terms of the underlying third-party provider as well.


7. Term and Termination

This Agreement remains in effect while you are connected to SoundSeam Payments.

You may request disconnection by contacting SoundSeam, but this may affect your ability to receive payouts or continue using the platform.

SoundSeam may terminate your access to SoundSeam Payments at any time, with or without notice, especially in cases of suspected fraud, breach of agreement, or compliance risk.

Termination of this Agreement does not affect other agreements you have with SoundSeam or with third-party providers.


8. Jurisdiction and Governing Law

This Agreement is governed by the laws of Quebec, Canada. Any disputes shall be resolved in accordance with SoundSeam's general Terms of Use and dispute resolution policies.


9. Non-Applicability

If you receive funds through SoundSeam using payment methods that do not involve a regulated third-party provider (e.g., crypto payouts), this Agreement does not apply to those specific transactions. In such cases, you must refer to our standard payout terms or contact SoundSeam for further information.
